AI Features Addendum

This AI Features Addendum (“AI Terms”) forms part of and is incorporated into the applicable End User License Agreement, Master Subscription Agreement, or other agreement governing the Customer’s use of the Offerings (the “Agreement”). These AI Terms apply to all artificial intelligence and machine learning functionality made available by Leapwork as part of the Offerings (“AI Features”), including, without limitation, AI Blocks and AI Studio.

Unless otherwise defined herein, capitalized terms shall have the meanings assigned to them in the Agreement.

1. Definitions

For the purposes of the AI Terms, the following meanings apply:

AI Features: means any artificial intelligence or machine learning functionality integrated into the Offerings that is capable of generating, transforming, or assisting in the generation of content, code, automation workflows, recommendations, or other outputs based on user-provided input.

AI Input:means any data, content, or information submitted, uploaded, or otherwise made available by Customer or its Authorized Users in connection with the use of AI Features, including without limitation prompts, queries, instructions, documents, files, datasets, automation workflows, browser interactions, observed data, and any associated metadata or configuration.

AI Output: means any data, content, or information generated or produced by the AI Features in response to AI Input, including without limitation generated code, test scripts, structured data, recommendations, summaries, automation workflows, and related artifacts.

AI Providers: means third-party service providers engaged by Leapwork to provide artificial intelligence or machine learning functionality, including large language models, embedding services, and related technologies.

Authorized Users: means those individuals authorized by Customer to access and use the Offerings in accordance with the Agreement.

2. Use of AI Features

2.1. Permitted Use. Customer and its Authorized Users may use AI Features solely in connection with the Offerings and in accordance with the Agreement.

2.2 Customer Responsibility. Customer is solely responsible for the content of any AI Input and for ensuring that use of AI Features complies with all applicable laws and regulations, including data protection and privacy laws. Customer acknowledges that AI Features may process Customer Data, including personal data, depending on how the Offerings are configured and used.

2.3 Rights and Consents. Customer represents and warrants that it has all necessary rights, consents, and permissions to provide AI Input and to permit its processing in accordance with these AI Terms.

2.4 Regulatory Compliance. Customer is responsible for ensuring that its use of AI Features complies with any sector-specific, regulatory, or internal governance requirements applicable to Customer.

2.5 Use of AI-Assisted Workflows. AI Features may enable or support the creation and execution of automation workflows configured by the Customer in connection with the Offerings. Customer is responsible for determining how such workflows are configured and used, and for ensuring appropriate controls and oversight.

3. AI Processing and Data Handling

3.1 Processing Model. AI Features operate by processing AI Input using one or more AI Providers and generating AI Output based on such input. As part of providing the AI Features, Leapwork may also store AI Input, AI Output, and related data necessary to support functionality and continued use of the Offerings.

3.2 Use of AI Providers. Customer acknowledges that AI Input may be transmitted to AI Providers for processing and that different AI Providers may be used depending on the functionality invoked, configuration settings, or model selection.

3.4 Provider Safeguards. Leapwork implements appropriate contractual and technical safeguards with AI Providers. Customer acknowledges that the use of such providers is necessary for the provision of AI Features.

3.5 Model Training. Leapwork does not use Customer Data to train or fine-tune foundation models.

4. AI Output and Limitations

4.1 Nature of AI Output
Customer acknowledges that AI Features rely on probabilistic models and that AI Output may be incomplete, inaccurate, biased, or non-unique.

4.2 Customer Review Obligation
Customer is solely responsible for evaluating, reviewing, and validating AI Output prior to use, including verifying the correctness of generated code, workflows, or recommendations.

4.3 No Warranties
AI Output is provided on an “as-is” and “as-available” basis, and Leapwork makes no representations or warranties regarding the accuracy, reliability, completeness, or fitness for a particular purpose of any AI Output.

4.4 Non-Exclusivity
Customer acknowledges that similar or identical AI Output may be generated for other customers and that AI Output may not qualify for intellectual property protection under applicable law.

5. Customer Responsibilities and Use of AI-Assisted Workflows

5.1 Control and Configuration
Customer is solely responsible for configuring access and use of the Offerings when using AI Features, including any automation workflows.

5.2 Responsibility for Workflow Execution. Customer acknowledges that any actions performed through automation workflows are executed based on Customer’s configuration and instructions.

5.3 Oversight and Control
Customer is responsible for implementing appropriate review processes, safeguards, and human oversight when using AI Features to generate or execute workflows.

5.4 Liability for Use
Leapwork shall have no responsibility or liability for actions taken or outcomes generated by automation workflows or Customer’s reliance on AI Output.

6. Ownership, Usage Limits, and Third-Party Technology

6.1 AI Input Ownership
As between the parties, Customer retains ownership of AI Input.

6.2 AI Output Usage Rights
Subject to the Agreement, Customer is granted a non-exclusive right to use AI Output for its internal business purposes.

6.3 Leapwork Rights
Customer acknowledges that Leapwork retains all rights, title, and interest in the AI Features and underlying technologies.

6.4 Usage Limits
Use of AI Features may be subject to usage limits, quotas, or fair use policies as specified in the Agreement, Order Form, or applicable documentation. Unless otherwise expressly agreed in writing by Leapwork, Customer’s use of AI Blocks shall not exceed 5,000 requests per calendar month per individual Leapwork license key.

6.5 Enforcement
Leapwork reserves the right to enforce such limits, including restricting or suspending access to AI Features where usage exceeds agreed thresholds.

6.6 Third-Party Technology
AI Features may rely on third-party technologies, including AI Providers, to deliver functionality. Customer acknowledges that such third-party technologies are used as part of the Offerings and that Leapwork is responsible for ensuring appropriate contractual and technical safeguards in relation to such providers. To the extent Customer provides data to, or connects third-party systems, services, or content in connection with the Offerings, Customer is responsible for ensuring that it has all necessary rights, permissions, and consents to do so.

7. General

7.1 Service Changes
Leapwork may modify, update, replace, or discontinue AI Features, including changing underlying AI Providers, as part of ongoing service improvements or to address technical, operational, or legal requirements.

7.2 Terms Updates
Leapwork may modify these AI Terms from time to time, and continued use of AI Features constitutes acceptance of such changes.

7.3 Order of Precedence
In the event of any conflict between these AI Terms and the Agreement, these AI Terms shall prevail with respect to AI-related matters.

7.4 Termination
Leapwork may suspend or terminate access to AI Features in the event of Customer’s breach of these AI Terms or the Agreement. Upon termination, Customer shall cease use of AI Features in accordance with the Agreement.
